1. Agreement to Terms

By accessing or using any Genie9 service ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our Services.

Important: These Terms constitute a legally binding agreement between you and Genie9 Ltd. ("Genie9", "we", "us", or "our").

2. Use of Services

Eligibility

  • You must be at least 13 years old to use our Services
  • You must provide accurate and complete registration information
  • You are responsible for maintaining account security
  • One person or legal entity per account

Acceptable Use

You agree not to use our Services to:

  • • Violate any laws or regulations
  • • Infringe on intellectual property rights
  • • Distribute malware or harmful code
  • • Engage in fraudulent or deceptive practices
  • • Harass, abuse, or harm others
  • • Attempt to gain unauthorized access

3. Service-Specific Terms

BigMind Cloud

  • • Designed for business use with team collaboration features
  • • Minimum 1TB storage included in all plans
  • • 99.9% uptime SLA for Business and Enterprise plans
  • • Data retention for 30 days after deletion
  • • Compliance with GDPR, HIPAA (with BAA)

BigMind Desktop

  • • Perpetual license with 1 year of updates
  • • Optional cloud storage integration
  • • Local backup remains accessible without subscription
  • • AI features require active subscription

GCloud

  • • Personal cloud storage service
  • • Free tier with 10GB storage
  • • File sharing and collaboration features
  • • Mobile and desktop sync

4. Payment Terms

Billing

  • •Subscription Services: Billed monthly or annually in advance
  • •Auto-Renewal: Subscriptions automatically renew unless cancelled
  • •Price Changes: 30 days notice for price increases
  • •Taxes: You're responsible for applicable taxes

Refund Policy

  • • 30-day money-back guarantee for new subscriptions
  • • Pro-rated refunds for annual plans cancelled mid-term
  • • No refunds for used storage or bandwidth

5. Intellectual Property

Your Content

  • • You retain all rights to content you upload
  • • You grant us limited license to provide the Services
  • • We don't claim ownership of your data
  • • You're responsible for having rights to upload content

Our Property

  • • Genie9 owns all rights to the Services and software
  • • Our trademarks and branding are protected
  • • Open source components under their respective licenses
  • • Feedback you provide becomes our property

6. Privacy & Data Protection

Your use of our Services is subject to our Privacy Policy. Key points:

  • We encrypt your data in transit and at rest
  • We don't sell or share your personal information
  • You control your data and can export/delete it
  • We comply with GDPR and other privacy laws

7. Warranties & Disclaimers

Service Provided "As Is"

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that the Services will be uninterrupted, secure, or error-free. You use the Services at your own risk.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENIE9'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill.

9. Indemnification

You agree to indemnify and hold harmless Genie9 and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services or violation of these Terms.

10. Termination

Your Rights

  • • Cancel subscription anytime from account settings
  • • Delete your account and all associated data
  • • Export your data before termination

Our Rights

  • • Suspend or terminate for Terms violations
  • • Terminate for non-payment
  • • Discontinue Services with 90 days notice

11. General Terms

  • Governing Law: These Terms are governed by the laws of England and Wales
  • Dispute Resolution: Disputes resolved through binding arbitration in London, UK
  • Changes: We may update these Terms with 30 days notice for material changes
  • Severability: If any provision is invalid, the rest remains in effect
  • Entire Agreement: These Terms constitute the complete agreement
